1. Acceptance of Terms

By accessing or using HAFLAH ("the Service"), operated by Sykari LLC ("Sykari", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you may not use the Service. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

We may update these Terms from time to time. The current version is always available on this page, with its effective date shown above. By continuing to access or use the Service after we post an update, you agree to be bound by the then-current Terms — even if you registered for the Service under an earlier version. If you do not agree to the updated Terms, you must stop using the Service.

2. Description of Service

HAFLAH is a digital event entry management platform that enables hosts to create events, distribute digital tickets, and manage guest check-in via QR codes. The Service is provided as a web application accessible through modern web browsers.

3. User Accounts

To use certain features of the Service, you must create an account by providing a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity, with or without notice.

Events and pricing

The Service supports one unified event model — hosts don't pick a fixed "type" at creation. An event can use any combination of features (a guest list, a dish board, ticket sales, RSVPs, and more), and the same guest-capacity pricing applies regardless of which features are in use: every event is free for up to 25 guests, and a one-time purchase raises that cap for that event. No event is exempt from this cap, and no combination of features changes how it's priced — see the Pricing section for the current tiers.

The core service — RSVPs, a dish board, and the guest-capacity free tier described above — is provided at no charge today. We may introduce optional paid add-ons in the future, but we will not retroactively start charging for features you're already using on an event you've created. If we ever discontinue a feature that's currently free, we'll give reasonable notice and offer an export of your data.

Hosts may rename or remove guest-submitted entries (members, dish names, RSVPs) on their own events. We log these moderation actions to the host's history view. Hosts are responsible for the appropriateness of guest-submitted content under Section 5 (Acceptable Use).

4. User Roles and Responsibilities

Hosts are responsible for the accuracy of event information, guest lists, and ticket allocations they create. Hosts acknowledge that they have the authority to manage the events they create and to invite or contact the people they list.

Guests agree to provide accurate registration information and to use their assigned QR codes only for their intended purpose.

Coordinators agree to use the scanning and approval tools responsibly and only for events they are authorized to manage.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Share, duplicate, resell, or forge QR codes
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated tools to scrape, crawl, or extract data from the Service
  • Impersonate another person or entity
  • Upload or transmit content that is unlawful, harassing, defamatory, or infringes any third-party rights

6. Payments, Pricing, and Refunds

Some features of the Service require payment. Ticket sales for paid events are charged in the currency configured by the event host for that event (US Dollars, Canadian Dollars, Australian Dollars, or UAE Dirhams). Service fees — event tier upgrades and e-card unlocks — are charged in U.S. Dollars (USD) regardless of your country. Prices shown at checkout do not include any applicable taxes (sales tax, GST, HST, VAT, or equivalents), which are the responsibility of the vendor of record (the event host for ticket sales; Sykari LLC for platform fees) and may be added at checkout where required by law.

If you are a host selling tickets, vendor space, or sponsorships through HAFLAH, you are the merchant of record for those sales and are responsible for collecting, reporting, and remitting any applicable sales tax, goods and services tax (GST), harmonized sales tax (HST), value-added tax (VAT), or equivalent in your country, state, or province. HAFLAH does not automatically calculate, collect, or remit tax on your behalf. You agree to comply with all tax-registration and filing requirements that apply to your sales.

HAFLAH uses a per-event pricing model. Every feature is included at no cost; what is sold is capacity and invitation designs. The core service is free for up to 25 guests, and an optional one-time purchase raises an event's guest capacity; it applies to that event only and is not a recurring subscription. If you sell tickets, HAFLAH charges a flat 3% per ticket sold.

Payments are processed by Stripe, Inc. By making a purchase you also agree to Stripe's terms (https://stripe.com/legal). We do not store your full card number or CVC; Stripe handles those directly.

Paid features activate as soon as your payment is confirmed. Because event upgrades are digital goods that deliver immediately, you acknowledge that supply of the features begins on purchase and, where applicable, you waive any statutory right of withdrawal that would otherwise apply to digital content delivered without a physical medium.

Refunds. All sales become final once the event date has passed. We do not refund event upgrades after the event has occurred.

Within 24 hours of purchase, before the event date, and provided you have not made material use of the paid features (for example: bulk-imported guests, sent broadcast announcements, or distributed paid-tier-only QR codes), you may request a refund by emailing legal@myhaflah.com. We review such requests in good faith but grant them at our sole discretion. Where you are entitled to a statutory cooling-off period under your country's consumer-protection laws (for example, the UK's 14-day right of withdrawal for digital content, or Australia's Australian Consumer Law guarantees), those rights apply notwithstanding the policy above and to the extent they cannot be waived.

Duplicate charges caused by technical error will always be refunded once verified.

Refunds, when granted, are issued to the original payment method. Processing time is set by your card issuer, typically 5–10 business days.

7. Chargebacks

If you believe a charge is incorrect, please contact us at legal@myhaflah.com before initiating a chargeback or payment dispute. Most issues can be resolved directly and faster than through your card issuer.

Filing a chargeback for a charge you authorized and consumed (for example, a paid event tier whose features you used to run your event) is a breach of these Terms. We reserve the right to suspend or terminate accounts that file fraudulent chargebacks, withhold further service, and recover any associated fees.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any loss, missed event, or inconvenience caused by downtime, service changes, or third-party provider failures.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information. By using the Service you agree to that policy.

10. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Sykari LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works of any part of the Service without our written permission.

Content you create through the Service (event names, guest lists, etc.) remains yours. By submitting content you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate and provide the Service to you and the people you authorize.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF VENDORABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, timely, error-free, or secure, or that any defects will be corrected. You use the Service at your own risk.

We are not responsible for outcomes arising from event management decisions made by hosts or coordinators — including guest disputes, denied entries, mistaken table assignments, ticket allocation errors, or third-party service failures (including those of Stripe, our email provider, or our hosting provider).

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SYKARI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR EMOTIONAL DISTRESS — ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability arising out of or relating to these Terms or the Service, regardless of the form of action, will not exceed the greater of (a) the total amount you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). If the law of your country of residence requires a higher minimum cap or prohibits this limitation altogether (for example, certain consumer-protection statutes in Canada, the United Kingdom, Australia, or the United Arab Emirates), the cap above applies only to the maximum extent permitted by such law.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply to the fullest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Sykari LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) content or data you submit; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms, posed a risk to other users or to us, or filed a fraudulent chargeback.

Sections that by their nature should survive termination — including Payments, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Miscellaneous — survive termination of these Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation will be resolved exclusively in the state or federal courts located in Michigan, and you and Sykari LLC each consent to the personal jurisdiction of those courts.

TO THE EXTENT PERMITTED BY LAW, YOU AND SYKARI LLC EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. ANY CLAIM MUST BE BROUGHT INDIVIDUALLY.

For users resident in Canada, the United Kingdom, Australia, or the United Arab Emirates: nothing in these Terms (including this Section 15) limits or excludes consumer rights granted by the mandatory laws of your country of residence that cannot be lawfully waived. Where local consumer-protection law conflicts with these Terms, the local law prevails to the extent of the conflict, and you may also be entitled to bring claims in the courts of your country of residence in addition to the courts of Michigan.

16. Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, governmental action, labor disputes, internet or hosting provider failures, cyberattacks, or pandemic-related disruptions.

17. Miscellaneous

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sykari LLC regarding the Service and supersede any prior agreements.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Sykari LLC.

18. Third-Party Music Integrations

HAFLAH offers optional integrations with third-party music services to power song requests during events. These integrations are off by default and only become active when a host explicitly enables song requests for their event and connects an account.

Spotify. If a host connects a Spotify account, HAFLAH uses the Spotify Web API to create a public Spotify playlist on the host's behalf and to add or remove tracks selected by the host, their coordinators, or their guests. By connecting a Spotify account, the host (and any guest who searches Spotify through HAFLAH) acknowledges and agrees that Spotify is a separate service operated by Spotify AB, that the Spotify integration is governed by Spotify's Developer Terms of Service and User Terms of Use, and that Sykari LLC is not responsible for the availability, accuracy, or content of Spotify's catalog. The host can disconnect Spotify at any time from event settings; doing so deletes our stored tokens but does not remove any playlist already published to the host's Spotify account.

YouTube. If a host connects a YouTube/Google account, HAFLAH uses the YouTube Data API v3 to create a public YouTube playlist on the host's behalf and to add or remove videos selected by the host, their coordinators, or their guests. By using the YouTube integration, you agree to the YouTube Terms of Service at https://www.youtube.com/t/terms, and your use of Google services through this integration is governed by the Google Privacy Policy at https://policies.google.com/privacy. HAFLAH's API client is subject to the YouTube API Services Developer Terms; you can revoke HAFLAH's access to your Google data at any time at https://myaccount.google.com/permissions. Sykari LLC is not responsible for the availability, accuracy, or content of YouTube's catalog or any video added to a playlist through this integration.

Sykari LLC claims no ownership of, and is not the source of, any music, video, cover art, or other content surfaced through Spotify or YouTube. All such content remains the property of its respective rights holders. The integrations are provided "as is" and may be suspended, modified, or removed at any time, including in response to changes in the underlying APIs or developer policies.

19. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page with a new "Last updated" date and, where appropriate, by email or in-app notice. Continued use of the Service after changes constitutes acceptance of the revised Terms.
